TIMOTHY J. HEITMANN
CHIEF EXECUTIVE OFFICER

Timothy J. Heitmann is Chief Executive Officer of Manhattan Group and brings more than four decades of experience in investment management, corporate finance and strategic advisory.

His career has encompassed senior positions in investment banking, private wealth management and corporate leadership, including roles with Raymond James, Legg Mason and First Union Securities. He has also served as an economist, financial commentator and company director, advising businesses and investors across a broad range of industries.

In 2019, Mr. Heitmann founded Padget & Company and, in 2022, led the investor group that acquired Manhattan Group, establishing its international affiliate to expand the firm's cross-border investment and advisory capabilities. Throughout his career he has specialised in identifying strategic investment opportunities, raising capital and supporting the growth of entrepreneurial businesses.

As Chief Executive Officer, Mr. Heitmann is responsible for the firm's strategic direction, corporate development and long-term investment strategy, working closely with clients and partners across North America, Europe, Africa and Asia.

DAVID MORO
MANAGING DIRECTOR

David Moro is Managing Director of Manhattan Group and has more than three decades of experience in investment banking, private investment, mergers and acquisitions and international business development.

His career began at Morgan Stanley, followed by work as a Russian expert at the Defense Department and service as an infantry officer in the United States Marine Corps. He subsequently held senior executive positions in operating and private investment companies before founding Manhattan Group as a boutique investment bank specialising in corporate finance, real estate finance, commodities trading, international trade finance and asset management.

During David's tenure, Manhattan Group has developed an international network of banking, trading and financing relationships supporting cross-border investment and commercial transactions. He has advised entrepreneurs, private companies and investors on acquisitions, capital raising and strategic growth initiatives across North America, Europe, Asia and emerging markets.

David leads the firm's corporate finance activities, transaction origination and strategic client relationships, with particular emphasis on complex international transactions, capital formation and investment opportunities.

Donald W. Barrick
DIRECTOR, COMMODITIES TRADING

Donald Barrick is Director - Commodities Trading at Manhattan Group Inc., and brings more than twenty-five years of experience in structured trade finance, asset-based lending and commercial finance.

Since 2000 he has founded, built and managed a number of specialist finance companies providing factoring, asset-based lending and trade finance solutions. Most recently, he has focused on deal structure, brokerage and origination primarily related to fuel and other commodities.

Prior to that, Donald was CFO of a holding company that executed a roll-up strategy in the building products industry that achieved an enterprise value of over $130 million.

He served on the Board of Directors for Life's WORC, a NYS affiliated agency serving over 1,500 developmentally challenged individuals from 2007 to 2024, including as Chairman from 2012 to 2016.

Donald graduated from Cornell University in 1991 with a BS degree in Finance.

At Manhattan Group, Donald advises on commodities trade transactions, particularly involving fuel, precious metals and certain agricultural commodities. Donald holds FINRA Series 3 Commodities Futures registration.

Alexander ("Xan") Moody-Stuart
DIRECTOR, MANHATTAN GROUP LONDON

Xan is a British Chartered Accountant with more than three decades of international experience in corporate finance, investment, cross-border transactions and private enterprise.

After reading Geography at Cambridge, Xan qualified as a Chartered Accountant with Deloitte before relocating to Beijing in 1997 to advise multinational companies entering the Chinese market.

In 2000, Xan joined ABMG, a Chinese investment firm. Three years later he founded The Orient Group, advising Chinese entrepreneurs on corporate strategy and cross-border transactions. He acted as sole adviser on the US$20 million sale of Himark Telecom to NASDAQ-listed REMEC and participated in the US$3.5 million acquisition of a 10% interest in PCOnline, subsequently listed on the HK Stock Exchange, generating a 10X return.

In 2006, Xan acquired the Subway rights for Beijing, Tianjin and Hebei. Under his leadership the business grew from 10 to 170 locations, representing 27% of Subway's China sales before its sale back to Subway in 2020. He served as a Director of the Subway Purchasing Cooperative, overseeing procurement of US$450 million annually across the Asia Pacific region, and advised several international QSR brands on their expansion into China.

Xan has also been an active principal investor in automotive and renewable energy ventures, including Rossion Automotive and Bio Energy Capital Corp.

Xan is a Director of Manhattan Group London Ltd., the company's UK affiliate, and leads Manhattan Group's London office, overseeing financial modelling, commercial due diligence, transaction analysis and administrative operations in support of the firm's investment activities.

Steve Harris
DIRECTOR, MANHATTAN GROUP LONDON

Steve Harris is one of two Directors of Manhattan Group London Ltd., the UK affiliate and London office of Manhattan Group, and brings more than three decades of international experience in engineering, project delivery, government procurement, commodity trading and structured commercial transactions.

Steve graduated with a BEng (Hons) in Aerospace Engineering from Kingston University, London. He began his career in advanced vacuum engineering before spending more than twenty years in the rail industry, where he held senior project management roles on London Underground and High Speed 2, developing a reputation for successfully delivering complex and high-profile infrastructure projects.

During the COVID-19 pandemic, Steve transitioned into international procurement, securing contracts for the supply of PPE, FFP3 respiratory masks and COVID-19 test kits to the UK Government. He played a key role in obtaining UK approval for Acon COVID-19 test kits, which became one of the principal testing products used within the National Health Service.

Following the easing of the pandemic, Steve expanded into international commodity trading, establishing a broad network of suppliers, financiers and government buyers. He has developed particular expertise in sugar trading while also advising on transactions involving precious metals, fertilisers, fuels and agricultural commodities. His experience includes the use of financial instruments and structured trade finance to support international commercial transactions.

Steve has built a strong reputation for integrity, commercial judgement and relationship management, maintaining long-term partnerships across government, industry and international trade.

At Manhattan Group, Steve supports the firm's commodity trading and international business development activities, helping clients structure and execute complex cross-border commercial transactions.

Kirit Patel
DIRECTOR, TRADE FINANCE & STRUCTURED TRANSACTIONS

Kirit Patel is Director - Trade Finance & Structured Transactions at Manhattan Group, bringing more than 30 years of international experience in trade finance, structured banking, corporate finance, private equity, mergers and acquisitions, and cross-border transactions.

Prior to joining Manhattan Group, Kirit held senior leadership positions with Price Waterhouse (London and Moscow), Invesco, Platinum Equity, Investment Trust Limited, and Tamalpais Ventures. Throughout his career, he has advised corporations, financial institutions, investors, and family offices on acquisitions, capital raising, restructuring, operational transformation, and strategic investments across North America, Europe, the Middle East, and Asia.

At Manhattan Group, Kirit leads the firm's Trade Finance & Structured Transactions practice, advising clients on international trade finance, bank platform trading and private placement programs, and various kinds of institutional funding. He works with banks, family offices, trading platforms and institutional investors to structure secure, compliant, return-generating transactions.

Kirit holds an MBA from Warwick Business School, an LLB (Honours) from the University of Essex, and is qualified in law and corporate finance. His combination of legal, financial, and commercial expertise enables Manhattan Group to deliver sophisticated financing and trade solutions for clients worldwide.

Philip A. Herman
SENIOR ADVISOR

Philip A. Herman brings more than five decades of experience as an entrepreneur, merchant banker and corporate finance executive, specialising in company acquisitions, capital formation, business development and international financial transactions.

Throughout his career, Mr. Herman has founded, acquired, financed and operated businesses across a diverse range of industries, including financial services, manufacturing, construction, telecommunications and direct marketing. He has led numerous acquisition and growth strategies, successfully expanding privately held companies before completing strategic sales or public listings.

In 2002, he founded The Herman Group and Capital Access Group, providing strategic financial advisory services to high-net-worth individuals, international corporations, financial institutions and private investment groups. His work has included international commodity transactions, structured finance and cross-border commercial opportunities involving energy, precious metals and foreign exchange.

Earlier in his career, Mr. Herman founded AmeriCorp Securities and Branin Investments and played a leading role in building several substantial businesses, including Nations Flooring, CTA Industries and BH&P, each of which achieved significant revenue growth under his leadership.

As Senior Advisor to Manhattan Group, Mr. Herman provides strategic counsel on corporate finance, capital raising, mergers and acquisitions, and complex international commercial transactions.
